To the fullest extent permissible pursuant to applicable law, Verden Ltd disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement. Verden Ltd does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that the defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components. LIMITATION OF LIABILITY

TYPOGRAPHICAL AND OTHER ERRORS
In the event that a Verden Ltd product is mistakenly listed at an incorrect price, Verden Ltd reserves the right to refuse or cancel any orders placed for the product listed at the incorrect price. Verden Ltd reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, Verden Ltd shall issue a credit to your credit card account in the amount of the incorrect price. Verden Ltd. is not liable in the event that an order cannot be fulfilled due to out of stocks or any other issues. If your credit card has already been charged for the purchase and your order is cancelled, Verden Ltd shall issue a credit to your credit card. Verden Ltd reserves the right to cancel and refund any order at any point even if you have already received an order confirmation.
PROMOTION AND DISCOUNT CODES POLICY
VERDEN Ltd reserves the right to change, disable or cancel any Discount and Promotional codes, events, sales and other marketing activity at any time. In addition, no discount or promotional code shall be valid more than 4 weeks from the start of the promotion, once a code has been live for 4 weeks it is no longer valid. This policy supersedes and replaces all prior promotional and discount agreements, promises, and understandings, oral or written, issued by the Company.
CURRENCIES AND SHIPPING COUNTRY
Depending on the country you select to ship your order to you will be charged in GBP, USD, EUR, or AUD. The currency you are being charged in is shown at checkout. We operate fixed currency prices for different regions.
TERMINATION
These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by us without notice at any time, for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

WE CANNOT CHANGE CHANGE SHIPPING ADDRESSES

SLAVERY AND HUMAN TRAFFICKING STATEMENT

ANANTI-BRIBERY COMPLIANCE
Consistent with Your general compliance obligations under the Compliance with laws and policies section of the Terms; You shall
- comply with all applicable laws, statutes, regulations relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010 (Relevant Requirements);

have and shall maintain in place Your own policies and procedures, including adequate procedures under the Bribery Act 2010, to ensure compliance with the Relevant Requirements;
The meaning of adequate procedures and foreign public official and whether a person is associated with another person shall be determined in accordance with section 7(2) of the Bribery Act 2010 (and any guidance issued under section 9 of that Act), sections 6(5) and 6(6) of that Act and section 8 of that Act respectively.
VAT AND TAXES
Prices listed on the website are UK VAT inclusive. This will be split out in the corresponding invoices for Net Terms payments. Duties and Tax for international shipments will be payable by the recipient and will not be covered by us. All taxes, charges, levies, assessments and other fees of any kind imposed on the purchase or import of the Products shall be the responsibility of, and for the account of, the buyer.
DELIVERY
We shall ensure that each Delivery of the Products is accompanied by a delivery note that shows the date of the Order, the type and quantity of the Products.
Any dates quoted for Delivery are approximate only, and the time of Delivery is not of the essence. We shall not be liable for any delay in Delivery of the Products that is caused by a Force Majeure Event or the User's failure to provide Us with adequate Delivery instructions or any other instructions that are relevant to the supply of the Products.
We shall have no liability for any failure to deliver the Products to the extent that such failure is caused by a Force Majeure Event or the Distributor's failure to provide VERDEN with adequate Delivery instructions or any other instructions that are relevant to the supply of the Products.
QUALITY
We warrant that on Delivery the Products shall:- conform with their description;
- be free from material defects in design, material and workmanship; and
- be of satisfactory quality (within the meaning of the Sale of Products Act 1979).
- give notice in writing to Us within 5 days of Delivery that some or all of the Products do not comply with the warranty above;
- (if asked to do so by Us) return such Products to Our place of business at Our cost,
We shall, at Our option, replace the defective Products, or refund the price of the defective Products in full.
We shall not be liable for the Products' failure to comply with the warranty above nor liable to You in any other circumstance in any of the following events:
- You makes any further use of such Products after giving notice of defect/damage;
- the defect/damage arises because You failed to follow Our oral or written instructions as to the storage, use and maintenance of the Products;
- You open or alter such Products without Our written consent;
- the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal storage or working conditions; or
- the Products differ from their description as a result of changes made to ensure they comply with applicable statutory or regulatory requirements.
Except as provide, We shall have no liability to You in respect of the Products' failure to comply with the warranty.
The terms implied by sections 13 to 15 of the Sale of Products Act 1979 are, to the fullest extent permitted by law, excluded from the Terms.
These Conditions shall apply also to any replacement Products supplied by Us.
PRODUCT RECALL
You undertake to maintain appropriate, up-to-date and accurate records to enable the immediate recall of any Products or batches of Products from the retail or wholesale markets or otherwise. These records shall include records of any deliveries to customers (including batch numbers, Delivery date, name and address of customer, telephone number, and email address).
In the case that a Product is recalled, We will refund the full cost of Products as paid by You.
TITLE & RISK
The risk in the Products shall pass to You on completion of Delivery.
Title to the Products shall not pass to You until We receive payment in full (in cash or cleared funds) for the Products in which case title to the Products shall pass at the time of payment.
Until title to the Products has passed to You, You shall:
- store the Products appropriately and separately from all other goods held by the Distributor so that they remain readily identifiable as Our property;
- not remove, deface or obscure any identifying mark or packaging on or relating to the Products;
- maintain the Products in satisfactory condition and keep them insured against all risks for their full price from the date of Delivery;
- give Us such information relating to the Products as We may require from time to time.
You may resell or use the Products in the ordinary course of its business (but not otherwise) before We receives payment for the Products. However, if the You resell the Products before that time title to the Products shall pass from Us to the You immediately before the time at which resale or use by the You occurs.
LOCAL REGULATIONS RELATING TO THE PRODUCTS
All laws and regulations affecting the manufacture, sale, packaging and labelling of Products which are in force within the Delivery Country or any part of it (Local Regulations) at the date of purchase are Your responsibility.
We warrant that the Products comply with the regulations of the United Kingdom in force at the date of 01/01/2022 and that the ingredients list of the Products is accurate.
You shall be responsible for maintaining and monitoring any compliance, registration or other obligations in accordance with Local Regulations.
On receipt of any notification from You We shall either make reasonable commercial efforts to ensure that the Products comply with any change in the Local Regulations by the date of implementation of that change, or as soon as is reasonably possible afterwards, or withdraw such Products for purchase.
